1. Agreement

These Terms and Conditions ("Terms") govern your access to and use of the website at getmist.ai, the application at app.getmist.ai, and the API at api.getmist.ai (collectively, the "Service"), operated by Oasis Vault I LLC ("Mist," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The Service

Mist is an AI model aggregation and management service. It provides a single OpenAI-compatible API and a dashboard that lets companies manage model access, API keys, usage visibility, and budgets across a curated catalog of AI models provided by third parties.

We may change, suspend, or discontinue any part of the Service at any time, with or without notice, and we are not liable to you for any such change.

3. Accounts and API Keys

  • You must provide accurate and complete information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and API keys.
  • You are responsible for all activity that occurs under your account and API keys, whether authorized by you or not. If you believe your credentials or keys have been compromised, revoke or rotate them and contact us promptly.
  • API keys are displayed only once at creation. We store keys in hashed form and cannot retrieve a lost secret.
  • We may suspend or terminate your account or keys if we reasonably believe there has been a violation of these Terms or unauthorized use.

4. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes, without limitation:

  • Using the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempting to gain unauthorized access to the Service, other accounts, or related systems
  • Interfering with or disrupting the Service, its infrastructure, or third-party providers
  • Using the Service to generate, transmit, or facilitate content that is unlawful, infringing, or that violates the rights of others
  • Reselling, sublicensing, or providing the Service to third parties except as expressly permitted by an agreement with us
  • Attempting to probe, scan, or test the vulnerability of the Service without authorization
  • Using the Service in a manner that exceeds your approved model access or budget limits, or that circumvents access or budget controls
  • Reverse engineering, decompiling, or disassembling the Service (to the extent not prohibited by law)

5. Third-Party Models and Providers

The Service provides access to AI models supplied by third-party providers (including, without limitation, Venice and OpenRouter). We do not own or control these models or providers. Your use of a given model is also subject to the applicable third-party provider's terms and policies. We are not responsible for the output, availability, or behavior of third-party models, or for how third-party providers process content.

You are responsible for the content you submit to the Service and for how you use the output. AI output can be inaccurate, incomplete, or otherwise unreliable. You should verify important output before relying on it, and you must not use output in a way that is unlawful or that harms others.

6. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Mist does not store your prompts or model responses in our own systems as part of providing inference; usage, billing, and account metadata is retained as described in the Privacy Policy. Content you submit is transmitted to third-party model providers to fulfill your requests, and their practices apply.

7. Fees, Credits, and Billing

  • The Service uses a credit-based billing model. Credits are a denomination of account value; as currently configured, 1 Credit = USD 1. Credit pricing and model prices are displayed in the Service and may change from time to time.
  • You are responsible for paying all fees associated with your account, including fees incurred through the use of API keys issued to your users, up to the limits set on your account.
  • Credits may be purchased or deposited as described in the Service. Unless otherwise stated, purchased credits are non-refundable except as required by law.
  • We may modify pricing or the credit-to-currency conversion at any time. Changes will be effective as stated in the Service or on notice to you.
  • If payment is not received or an account balance is insufficient, we may suspend access to the Service until the matter is resolved.
  • All fees are exclusive of taxes unless stated otherwise. You are responsible for any taxes applicable to your use of the Service.

8. Budgets and Limits

  • Company administrators may set budget limits at the company, team (area), and user level, and may approve or restrict model access.
  • You acknowledge that budget enforcement is based on settled usage and may, in certain circumstances, allow concurrent usage that temporarily exceeds a configured limit. Final invoiced totals may take up to 24 hours to reflect.
  • We are not liable for usage that exceeds a budget limit where the enforcement mechanism permits such usage, or for loss of access due to a depleted balance.

9. Intellectual Property

  • As between you and us, we retain all rights, title, and interest in and to the Service, including its software, design, branding, and documentation. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
  • You retain all rights to the content you submit to the Service, to the extent permitted by law. You grant us a limited license to process that content solely to provide the Service to you (including transmitting it to third-party providers as described above).
  • You may not use our name, logo, or branding without our prior written consent.

10. Confidentiality

Where we share non-public information about the Service (including product roadmaps, pricing terms, or technical details) with you, you agree to keep it confidential and use it only to evaluate or use the Service. Nothing in these Terms restricts your use of information that is publicly available or independently developed.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mist and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of applicable law; or (d) content you submit to the Service or generate using the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MIST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Termination

  • You may stop using the Service and terminate your account at any time.
  • We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if you breach these Terms.
  • Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including Sections 7, 9, 11, 12, 13, 15, and 16) will survive.
  • Unless otherwise required by law, termination does not entitle you to a refund of prepaid or purchased credits.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of Wyoming. You waive any objection to the jurisdiction or venue of those courts. TO THE EXTENT PERMITTED BY LAW, ANY CLAIM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES, OR IT IS PERMANENTLY BARRED.

16. General

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mist regarding the Service and supersede all prior agreements.
  • Waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices. We may provide notices by email to the address associated with your account, or through the Service. You consent to receive notices electronically.
  • Changes. We may update these Terms from time to time. When we make material changes, we will update the "Effective date" above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
